Please read these Terms of Service (“Terms”) carefully before using our web application or services (collectively, the “Service”). By creating an account or accessing the Service, you agree to be bound by these Terms. If you do not agree, you may not access or use the Service.
1. Description of Service
Indie Captain provides a cloud-based management platform designed to help users organize schedules, track team projects, and maintain internal tracking records (e.g., calculations regarding amounts owed to coaches or producers).
2. Disclaimer Regarding External Payments and Calculations
CRITICAL NOTICE — No Financial Transactions: Our Service is strictly an administrative tracking and scheduling tool. We do not process, collect, store, hold, route, or guarantee financial payments or transactions.
- Third-Party Payment Platforms: Any display or recording of external payment identifiers (such as Venmo handles) is provided purely for informational and reference purposes. All actual financial transactions take place entirely outside of the Service via independent third-party platforms.
- User Responsibility: You are solely responsible for verifying the accuracy of all schedule entries, manual calculations, payment amounts, and recipient details entered into or generated by the Service before making any external transfer. We are not liable for any payment errors, disputes, late payments, or losses resulting from your reliance on data stored in the Service.
3. User Accounts & Security
- Account Security: You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access.
- Accuracy of Information: You agree to provide accurate and current contact details (name, email, and optional phone number) when creating an account.
4. Acceptable Use
You agree not to use the Service to:
- Violate any local, state, federal, or international laws.
- Upload false, misleading, defamatory, or infringing content.
- Attempt to reverse engineer, decompile, or compromise the technical security or availability of the platform.
- Interfere with other users' enjoyment of or access to the Service.
5. Intellectual Property
- Our Property: The Service, including its code, software architecture, design, branding, and original content, remains the exclusive property of Indie Captain.
- Your Content: You retain ownership of any schedule data, project information, or contacts you input into the Service (“User Content”). By submitting User Content, you grant us a limited license to host and process that data strictly as necessary to operate the Service for you.
6. Disclaimer of Warranties
The Service is provided on an “as is” and “as available” basis without warranties of any kind, either express or implied. To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, accurate, or completely secure.
7. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Indie Captain, its officers, directors, or members be liable for any indirect, incidental, consequential, special, or punitive damages — including loss of profits, data, goodwill, or appointment disputes — arising out of or related to your use of or inability to use the Service.
Our total liability to you for any claims arising under these Terms shall not exceed the greater of $100 or the total amount you paid us to use the Service in the preceding twelve (12) months.
8. Account Termination
We reserve the right to suspend or terminate your access to the Service at our sole discretion, without notice, if we believe you have violated these Terms or engaged in unauthorized use of the platform. You may terminate your account at any time by contacting support.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law principles. Any legal action or dispute arising under these Terms shall be resolved in the state or federal courts located in Cook County or the state courts of Illinois.
